Your access and use of the Platform, any part thereof, or anything associated therewith, including its content (“Content”), and any products or services provided through the Platform or otherwise by Optimize, and any affiliated website, software, or application owned or operated by Optimize (collectively, including the Platform and the Content, the “Service”) are subject to this Privacy Policy. Capitalized terms not otherwise defined in this Privacy Policy have the same meaning as set forth in our Terms and Conditions.
We are committed to respecting the privacy of users of the Service. We created this Privacy Policy (“Privacy Policy”) to tell you how Optimize collects, uses, and discloses information in order to provide you with the Service. By enrolling in our membership, completing any onboarding or intake process, or otherwise accessing or using the Service, you acknowledge the most recent version of this Privacy Policy. We will update this Privacy Policy when necessary to reflect material changes in the Service or how we use personal information, and as required by applicable law. If we make any changes to our Privacy Policy, we will post the revised Privacy Policy and update the “Last updated” date at the top of the Privacy Policy. Protected Information. When you enroll in an Optimize membership or are otherwise onboarded into the Service, you are establishing a direct customer relationship with Optimize that enables you to access and/or utilize the various functions of the Platform and the Service as a user. As part of that relationship, you provide information to Optimize, including, but not limited to, your name, email address, shipping address, phone number, and certain transactional information, which we do not consider to be “protected health information” or “medical information.” However, in using certain components of the Service, you may provide certain health or medical information that may be protected under applicable laws. Optimize is not a “covered entity” under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and its related regulations. One or more of the Labs, Pharmacies or Medical Groups (as defined in our Terms and Conditions) may or may not be a “covered entity” or “business associate” under HIPAA, and Optimize may in some cases be a “business associate” of a Pharmacy or Medical Group. It is important to note that HIPAA does not necessarily apply to an entity or person simply because there is health information involved, and HIPAA may not apply to your transactions or communications with Optimize, the Medical Groups, the Providers, the Labs, or the Pharmacies. To the extent Optimize is deemed a “business associate” solely in its role as a business associate, Optimize may be subject to certain provisions of HIPAA with respect to “protected health information” (“PHI”) that you provide to Optimize or the Medical Groups. In addition, any medical or health information that you provide that is subject to specific protections under applicable state laws (collectively, with PHI, “Protected Information”), will be used and disclosed only in accordance with such applicable laws. However, any information that does not constitute Protected Information under applicable laws may be used or disclosed in any manner permitted under this Privacy Policy. Protected Information does not include information that has been de-identified in accordance with applicable laws. The Medical Groups and Providers have adopted a Notice of Privacy Practices that describes how they use and disclose Protected Information. By accessing or using any part of the Service, you acknowledge receipt of the Notice of Privacy Practices from your Medical Group and Provider(s).
By accessing or using any part of the Service, you understand that any information that you submit to Optimize that is not intended and used solely for the provision of diagnosis and treatment by the Medical Group and Providers, laboratory services by the Labs or prescription fulfillment by the Pharmacies, is not considered Protected Information, and will be subject only to our Privacy Policy and any applicable state laws that govern the privacy and security of such information. For clarity, information you provide to Optimize in connection with enrolling in a membership, completing onboarding or intake processes, or otherwise being granted access to the Platform, including name, date of birth, username, email address, shipping address, and phone number, are not considered Protected Information.
Collection of Personal Information. The personal information we collect depends on how you interact with us, the services you use, and the choices you make. We collect information about you from different sources and in various ways when you use our services, including information you provide directly, information collected automatically, information from third-party data sources, and data we infer or generate from other data.
We use the information we collect in various ways to provide, maintain, and improve our Services. This includes: – to facilitate the creation of and secure your account; – to provide customer support; – to communicate with you about products, services, or promotions; – to personalize and improve the Services; – to process transactions and send related information; – to detect, prevent, or respond to fraud, abuse, security or technical issues; – to comply with legal obligations. Your access and use of the Platform, any part thereof, or anything associated therewith, including its content (“Content”), any products or services provided through the Platform or otherwise by Optimize, and any affiliated website, software or application owned or operated by Optimize (collectively, including the Platform and the Content, the “Service”) are governed by these Terms and Conditions (“Terms”). Please read this Agreement carefully because it sets forth the important terms you need to know about the Service.
In this Agreement, “you” and “yours” refer to the person using the Service. The Service is not intended for individuals under 18, and individuals under 18 are prohibited from using the Service or entering into this Agreement. If you do not agree to this Agreement in its entirety, you may not use the Service. We reserve the right to revise or remove any part of this Agreement or the Service at any time. Any changes are effective upon posting to the Platform. Unless otherwise indicated, any new Content added to the Service is also subject to this Agreement upon posting. If you disagree with this Agreement or any changes, your sole remedy is to discontinue use of the Service.
Your Relationship with Us. By using the Service, you represent and warrant that you have the right, authority, and capacity to agree to and be bound by this Agreement. You acknowledge that this Agreement is concluded electronically. Optimize grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with this Agreement. You agree not to use the Service for any unlawful or harmful purpose. You will not infringe on any rights of Optimize or others, including intellectual property or privacy rights. You agree to comply with all applicable laws and regulations when using the Service.
Account and Registration. To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and account information. You agree not to disclose your password to others or allow any third party to access your account. You will notify us immediately if you believe your account has been compromised. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.
Privacy. Your privacy is important. Please review our Privacy Policy, which is incorporated by reference and explains how we collect, use, and disclose information about you. The Privacy Policy is available at optimize-hp.com and governs the processing of any personal information you provide in connection with the Service.
Limited Medical Services and Disclaimer. The Service may include access to telehealth consultations, treatment plans, or other wellness services provided by licensed professionals (the “Providers”) through our platform. The content and services provided through the Service, including any medical advice or treatment, are intended to complement but not replace the services of your primary healthcare provider or emergency services. The Service may not be appropriate for all conditions. The Providers are not employees of Optimize; Optimize is not a medical care provider. The Providers are independent licensed professionals or affiliated medical groups (“Medical Groups”). Optimize provides administrative support and operates the Platform, but does not provide direct medical care, diagnosis, or treatment. All medical decisions are made by the Providers and Medical Groups.
THE SERVICE, INCLUDING ALL CONTENT, PRODUCTS, AND SERVICES, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, Optimize DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Optimize DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitations of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMIZE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OPTIMIZE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO OPTIMIZE IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRIOR TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification. You agree to indemnify, defend, and hold harmless Optimize, its affiliates, and its and their officers, directors, employees, contractors, agents, licensors, and representatives from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way related to (i) your access to or use of the Service; (ii) your violation of this Agreement; or (iii) your violation of any rights of a third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
Dispute Resolution and Arbitration. UNLESS YOU OPT OUT AS SET FORTH BELOW, YOU AGREE THAT ANY DISPUTE BETWEEN YOU AND OPTIMIZE OR A MEDICAL GROUP OR PROVIDER WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHTS TO A JURY TRIAL AND CLASS ACTIONS. You may opt out of arbitration within 30 days of agreeing to these Terms by sending a written notice to support@optimize-hp.com stating that you elect to opt out of arbitration. This arbitration provision does not apply to small claims filed in your local small claims court or to disputes outside the scope of this Agreement. The arbitration will be administered by a neutral provider and will take place in the federal district of Travis County, Texas. Each party will bear its own costs except as specified in the arbitration rules. Any award will be limited to the claim and the relief sought.
Governing Law. This Agreement is governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law provisions. The exclusive venue for any judicial proceeding arising from this Agreement or your use of the Service (not covered by arbitration) will be Travis County, Texas.
Miscellaneous. This Agreement (including any referenced documents) constitutes the entire agreement between you and Optimize concerning the Service, and supersedes all prior or contemporaneous agreements. If any provision is held invalid, the remaining provisions will remain in effect. Neither party’s failure to enforce any right or provision will not be deemed a waiver of such right. Optimize may transfer or assign this Agreement without notice.

Purpose. The purpose of this consent form (“Consent”) is to provide you with information about telehealth and to obtain your informed consent to the use of telehealth in the delivery of healthcare services to you by physicians, physician assistants, and/or nurse practitioners (“Providers”) using the online platforms owned and operated by Optimize (the “Service”). In this Consent, the terms “you” and “your” refer to the person using the Service.
Use of Telehealth. Telehealth involves delivering healthcare services using electronic communication, information technology, or other means between a healthcare provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up, or patient education. It may include, but is not limited to: electronic transmission of medical records, photo images, personal health information, or other data between you and a provider; interactions via audio, video and/or data communications (such as messaging or email); and use of output data from medical devices or sound and video files.
Anticipated Benefits. Potential benefits of telehealth include easier access to medical care, efficient delivery of services, convenience of receiving care at home, and increased ability to interact with Providers without a physical office visit. For example, telehealth may allow you to consult with healthcare providers at times and places that are more convenient for you, and may improve coordination of care.
Potential Risks. The use of telehealth also poses potential risks. These include, but are not limited to:
– Technical Risks: The quality, accuracy or effectiveness of the services may be limited by technical factors. Technology (including the Service) may contain bugs, errors or may fail, causing parts of the system to be unavailable or to produce incorrect information. Failures may impact your Provider’s ability to diagnose or treat.
– Quality Risks: Some tests or assessments (like physical exams or vital signs measurements) cannot be performed remotely, which may limit the Provider’s ability to diagnose or treat your condition or determine the need for in-person emergency care. You understand that your Provider may not be able to provide treatment for every condition via telehealth, and you may be referred to in-person care if necessary.
– Privacy and Security Risks: Although we use encryption and other security protocols, there is a risk of a breach of privacy when transmitting medical information electronically. Communications or files (e.g., emails, video streams, photos) may be accessed by unauthorized parties despite precautions.
– Other Risks: Delays in evaluation or treatment could occur due to unavailability of your Provider or technical failures. There may be conditions for which telehealth is inappropriate.
By using telehealth, you acknowledge that you understand these risks and that your Provider will discuss them with you.
Medical Record and Confidentiality. Any information that you provide during a telehealth session will be kept confidential to the extent required by law. Your Provider will document the session in your medical record. No recordings of your telehealth sessions will be made by the Provider without your consent. Please note that Optimize is not a covered entity under HIPAA, but providers and medical groups are subject to HIPAA. Nevertheless, Optimize has contractual obligations to protect your information. Communications and information transmitted via electronic means may not be fully confidential or secure.
Voluntary Participation; Alternatives. Participation in telehealth is entirely voluntary. You may withdraw your consent at any time by notifying your Provider. Alternatives to telehealth include traditional in-person visits. You should discuss any questions about alternatives with your Provider.
No Guarantee of Outcomes. Optimize does not guarantee any specific results from telehealth services. The outcome of each session depends on your cooperation, the quality of the technology, and other factors beyond our control.
By clicking “I Agree” or otherwise accepting this Consent, you acknowledge that you have read, understood, and agree to this Telehealth Informed Consent. You acknowledge that all your questions have been answered and that you agree to the use of telehealth under these terms.
